Terms and Conditions

By accessing this website or engaging in services offered by Jay J, you (“Client,” “Collaborator,” or “User”) agree to be bound by the following Terms and Conditions. These terms are drafted in accordance with the laws of the United Kingdom and applicable international laws, and are designed to protect the creative, commercial, and intellectual property rights of the Producer Songwriter.

1. Scope of Services

Jay J provides bespoke, high-end music services including but not limited to:

• Music Production 

• Songwriting 

• Music to Visual (Scoring) 

• Mixing 

• Mastering 

All services are subject to custom project briefs and terms agreed via email or in writing.

2. Copyright and Intellectual Property Ownership

Unless otherwise agreed explicitly and in writing, Jay J retains 100% of all copyrights, publishing rights, and master rights for all music, lyrics, compositions, sound recordings, arrangements, and stems created or co-created under this agreement.

• No Implied Transfer: No rights, licenses, or ownership (partial or full) are granted or implied unless a formal written agreement, signed by both parties, explicitly states otherwise.

• Payment Requirement: Clients shall not have any right to use, distribute, release, or exploit the works — in whole or in part — until full payment has been received and a written agreement specifying the permitted usage has been executed.

• AI Protection: All works created are strictly prohibited from being used for training or feeding into artificial intelligence systems, machine learning datasets, or automated reproduction tools without prior written consent. Unauthorized use constitutes a breach of copyright and may be prosecuted.

• Moral Rights Reserved: Jay J retains the right to be identified as the author/producer of the work and to object to any derogatory treatment or modification of the work.

Unless these conditions are met, any use of the work by the client shall be considered unauthorized and infringing, and subject to immediate legal action.

3. Collaborations and Co-Writing

In the case of joint songwriting or production collaborations, no publishing or royalty splits are valid unless agreed upon in a signed agreement prior to the start of the project. If no such agreement exists, Jay J retains all rights by default.

All collaborators must agree that:

• Jay J retains the exclusive right to distribute, monetize, and license the final product.

• No collaborator may release, publish, or exploit any version of the work independently without written permission.

4. Licensing & Usage Rights (Clients)

Upon full payment and written agreement, clients may be granted a limited, non-exclusive license to use the final deliverables for commercial or promotional purposes, such as:

• Digital distribution

• Film/TV use (if scoped)

• Personal or label releases

Unless explicitly agreed otherwise, clients do not own the master or publishing rights, nor do they have permission to:

• Claim authorship or ownership of the work

• Sell or sublicense the work

• Use stems or compositions for derivative works

• Upload materials to Content ID systems (e.g., YouTube, Meta Rights Manager)

4.1 Ownership Upon Full Payment

Ownership of the final song, including the master and composition, may transfer to the client only upon full payment and a written agreement explicitly confirming such transfer.

⚠️ IMPORTANT: Even where full payment is made and ownership is transferred, all publishing splits and royalty shares relating to songwriting and composition must be agreed upon in writing prior to project commencement. If no agreement is made, Jay J retains all default rights to the underlying work.

5. Payment Terms

• All payments must be made in full via Bank Transfer or PayPal before any work is released.

• Late payments may result in project delays or forfeiture of access to files.

• All prices listed are base rates and are subject to change depending on scope and complexity.

No refunds will be issued after work has begun unless initiated by Jay J for exceptional reasons.

6. Use of Work for Promotion

Unless otherwise requested in writing, Jay J reserves the right to:

• Share snippets of completed work in portfolios, promotional reels, and social media for marketing purposes.

• Credit himself as producer/writer on all platforms where the work is published, including streaming platforms, liner notes, and press materials.

7. Website and Digital Content Protection

All content on this website — including text, audio, images, graphics, beats, logos, videos, and code — is owned or licensed by Jay J and is protected under the UK Copyright, Designs and Patents Act 1988, the Digital Economy Act 2017, and all applicable international IP laws.

You may not:

• Copy, redistribute, or download any content for commercial use

• Scrape or extract data from the site

• Reverse-engineer any part of the site or its content

Violations will be prosecuted under UK and international law.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, specifically the laws of England and Wales. All disputes shall be subject to the exclusive jurisdiction of the English courts.

Where international users are involved, these terms are also enforceable under:

• The Rome I Regulation (contract law across borders)

• The Berne Convention (international copyright)

• The WIPO Copyright Treaty

• Local consumer protection laws where applicable

Jay J reserves the right to enforce these terms globally, including pursuing legal action in the client’s country of residence where infringement occurs.

9. Updates & Amendments

Jay J reserves the right to update or modify these Terms at any time. Continued use of the website or services after changes are posted constitutes acceptance of those changes.
